The Controlled Company shall place the management of its company under the control of the Controlling Company. Accordingly, the Controlling Company shall be authorised to issue in- structions to the Controlled Company's management regarding the management of the compa- ny. The Controlled Company shall thus be incorporated into the Controlling Company in organi- sational, financial and commercial terms.
