WHEREAS, the parties have executed a Network Participation Agreement as of the date hereof (the “Network Participation Agreement”), whereby Morehouse will provide (or caused to be provided) certain administrative services (the “Services”) on behalf of the Participant in connection with certain clinical research conducted by the Participant or physicians engaged or employed by the Participant who are listed on Exhibit A hereto, as amended from time to time, (collectively, the “Physicians”) as part of the Participant’s participation in the Morehouse Community Physicians Network and Registry (“CPN”);
