This DIRECT AGREEMENT (“Direct Agreement”) dated as of [ ] [ ], 2010, is made by and among (i) TEXAS DEPARTMENT OF TRANSPORTATION, an agency of the State of Texas (“TxDOT”), (ii) NORTH TEXAS TOLLWAY AUTHORITY, a political subdivision of the State of Texas and a body corporate and politic (the “Authority”) and (iii) [ ], a national banking association duly organized and existing under the laws of the United States of America, which is authorized under such laws to exercise corporate trust powers, and is subject to examination by Federal authority, as trustee under the Trust Agreement referred to below (together with its successors, designees and assigns in such capacity, the “Trustee”) for the benefit and security of each and all of the holders of the Obligations as defined in the Trust Agreement referred to below.
