This AMENDED AND RESTATED SERVICES AGREEMENT (this “Agreement”) is entered into effective as of April 1, 2004 (the “Effective Date”) by and among DIAMOND SHAMROCK REFINING AND MARKETING COMPANY, a Delaware corporation (“DSRMC”) and an indirect wholly owned subsidiary of Valero Energy Corporation (“Valero Energy”), VALERO L.P.
