This Limited Assignment Agreement (this “Assignment Agreement”) is entered into as of [ ] by and among Brea Generation LLC, a Delaware limited liability company (“BG” or “PPA Seller”); Brea Power II, LLC, a Delaware limited liability company (“BPII” or “PPA Seller”) (BG and BPII are collectively referred to as “PPA Sellers”); City of Anaheim, a municipal corporation organized and existing under the laws of the State of California (“Anaheim”); and Southern California Public Power Authority, a public entity and joint powers authority formed and organized pursuant to the California Joint Exercise of Powers Act (California Government Code section 6500, et seq.) (“SCPPA”). This Assignment Agreement relates to that certain Consolidated, Amended and Restated Power Purchase Agreement by and among Anaheim and PPA Sellers dated December 15, 2009, as amended from time to time (the “PPA”), and to the Limited Assignment Agreement (Brea Landfill Facilities Gas-to-Power Project) of even date herewith
