This Assignment and Assumption Agreement, dated as of March 28, 2000 ("Assignment Agreement") is by and among STATOIL ENERGY TRADING, INC. ("Assignor") and STATOIL ENERGY SERVICES INC. ("Assignee") and ENRON NORTH AMERICA CORP. (“ENA”). Unless otherwise defined herein, capitalized terms used herein shall have the meanings assigned to such terms in the Master Agreement.
