This Personal Data Processing Addendum (“Addendum”) forms a part of the Master Services Agreement (the “Agreement”) entered into by and between the merchant who executed the Agreement (“Merchant”) and Recurly, Inc. (“Recurly”). By executing the Addendum in accordance with Section 11 herein, Merchant enters into this Addendum on behalf of itself and, to the extent required under applicable Data Protection Laws (defined below), in the name and on behalf of its Affiliates (defined below), if and to the extent Recurly processes Personal Data for which such Affiliates qualify as the Controller (defined below). Any terms not defined in this Addendum shall have the meaning set forth in the Agreement.
