TSA Term Sheet

This term sheet (this “Term Sheet”)1 sets forth the preliminary terms of the Transition Services Agreement (the “TSA”) between (a) RegCo and (b) New Holdings, pursuant to which (x) Parties will provide certain transition services to each other and (y) Parties will pay all costs associated with such transition services, in connection with, and substantially consistent with, this Term Sheet. The provisions of the TSA, and all services provided pursuant to the TSA, shall be in accordance with all U.S. communications, trade laws, and regulations. This Term Sheet is subject to change and, for the avoidance of doubt, does not give rise to any legally binding or enforceable obligation on any Party. No contract or agreement providing for any transaction will be deemed to exist between the Parties unless and until the TSA has been mutually agreed and entry into the TSA is authorized by the Bankruptcy Court for the District of Delaware.
