This Settlement Agreement (“Agreement”) is made and entered into this 21st day of June 2019 (“Execution Date”) by and between Delphi Technologies PLC and Delphi Powertrain Systems, LLC (together, “Delphi”) and End-Payor Plaintiff Class Representatives (“End-Payor Plaintiffs”), both individually and on behalf of a class of indirect purchasers of Ignition Coils (“Settlement Class”), as more particularly defined in Paragraph 12 below.
