IMPORTANT - READ CAREFULLY: Sanctus, LLC, a limited liability company doing business as Shift Digital (“Toyota Digital Solutions”), makes the Services, as defined below, available as part of the digital program identified in the Toyota Certified Digital Program Terms. This “Agreement” includes these Master Terms and Conditions of Use and End User License Agreement, the Toyota Digital Solutions Dealer Data Access Agreement, the Toyota Dealer Digital Program Terms, and the Additional Service Terms. Although the Toyota Certified Digital Program is sponsored by Toyota, Toyota is not providing or otherwise responsible for the Services and is not a party to these Universal Terms and Conditions of Use and End User License Agreement. This Agreement is a legal contract between you, the automotive dealer (“Dealer”) subscribing to the Services, and Toyota Digital Solutions. The Services are subject to the terms set forth in this Agreement.
