Net Energy Metering and Interconnection Agreement • January 11th, 2010

(“Owner/Operator”) and Hawaiian Electric Company, Inc. (“Company”), sometimes also referred to herein jointly as “Parties” or individually as “Party.” This Agreement provides for Customer-Generator to interconnect and operate a Generating Facility in parallel with Company’s distribution system. This Agreement is applicable only to Company’s customers who satisfy all requirements of the definition of an “Eligible Customer- Generator” set forth in the Company’s Rule 18 relating to net energy metering, and only to the Generating Facility described and installed at the location listed below. The Generating Facility may not be relocated or connected to Company’s system at any other location without Company’s express written consent. A description of the Generating Facility including a summary of its significant components shown in Exhibit A, (DESCRIPTION OF CUSTOMER-GENERATOR’S GENERATING FACILITY), Exhibit B, (GENERATING FACILITY OWNED BY THE CUSTOMER-GENERATOR
