Terms of Agreement; Order of Precedence. This Agreement contains the only terms which govern the purchase by Leviton or its affiliates, or by Leviton on behalf of its affiliates, of Product described on Purchase Orders and sold by Supplier. Leviton and Supplier are sometimes herein referred to singly as “Party” or collectively as “Parties.” This Agreement supersedes all previous and contemporaneous agreements and understandings between the Parties. The Parties intend for the express terms and conditions contained in this Agreement to exclusively govern and control each of the Parties' respective rights and obligations regarding the manufacture, purchase and sale of the goods and/or services, as described in a Purchase Order, sourcing agreement, or statement of work (hereinafter referred to as “Products” or “Services,” as applicable), and the Parties’ agreement is expressly limited to such terms and conditions.
