Enbridge Energy Partners, L.P.(the “Partnership”) is a Delaware limited partnership whose Class A Common Units are registered under Section 12 of the Securities and Exchange Act of 1934, as amended (the “Exchange Act”), and are listed on the New York Stock Exchange. Prior to 2002, the business and affairs of the Partnership were managed by its general partner, Enbridge Energy Company, Inc. (“EECI”), a Delaware Company. Pursuant to a Delegation of Control Agreement (the “Delegation Agreement”), the General Partner delegated its control and management over the business and affairs of the Partnership to Enbridge Energy Management, L.L.C., a Delaware limited liability company (“EEM”).
