This Stipulation and Agreement of Settlement (together with all exhibits thereto, the “Stipulation”), dated as of June 25, 2020, which is entered into by and among: (i) Lead Plaintiff City of Hialeah Employees’ Retirement System (“Hialeah” or “Lead Plaintiff”), on behalf of itself and on behalf of the Settlement Class (as defined herein) (collectively, “the Plaintiffs”); and (ii) Defendants American Renal Associates Holdings, Inc. (“ARA” or the “Company”), Joseph A. Carlucci, Jason M. Boucher and Jonathan L.
