This CONSENT AND ACKNOWLEDGEMENT OF GROUND LESSOR (this “Agreement”) is made and entered into as of , 2021 by and between PIMA COUNTY, a political subdivision of the State of Arizona (“County”), RIO NUEVO MULTIPURPOSE FACILITIES DISTRICT, a special taxing district of the State of Arizona (“District”), TUCSON GROUP HOLDINGS LLC, a Massachusetts limited liability company (“Developer”) and LORDCAP GREEN TRUST, a Delaware statutory trust (“LordCap”). Any capitalized term used but not defined herein shall have the meaning specified for such term in the Ground Lease.
