This Amendment No. 1 (this “Amendment”) is made this 19th day of June 2000 (the “Effective Date”) by and between New England Telephone and Telegraph d/b/a Bell Atlantic – Rhode Island, a New York Corporation (“BA”), and Essex Communications, Inc., a New York Corporation (“Essex”). (BA and Essex may be referred to individually as a "Party" and collectively as the "Parties").
