New Century Bancorp, Inc., a North Carolina corporation (the “Company”), has authorized capital stock consisting of 10,000,000 shares of common stock, $1.00 par value (“Common Stock”), of which 4,241,040 shares were outstanding as of December 31, 2005. The Company proposes, subject to the terms and conditions stated herein, to issue and sell 1,000,000 shares of its authorized but unissued Common Stock (the “Firm Shares”) to the several underwriters named in Schedule I hereto as it may be amended by the Pricing Agreement hereinafter defined (the “Underwriters”), who are acting severally and not jointly and for whom Howe Barnes Investments, Inc. is acting as representative (the “Representative”).
