This Affiliate Services Agreement (this “Agreement”) is entered into as of the 1st day of August, 2012 , 2014, by and between Algonquin Power & Utilities Corp. (“APUC”), a Canadian Corporation (the “Provider Company”), which company is engaged, in part, in the rendering of services to companies in the APUC holding company system, and Liberty EnergyUtilities (Midstates Natural Gas) Corp. (“Liberty Midstates”) (the “Receiving Company”), (all parties to this Agreement otherwise collectively referred to as the “parties” or individually referred to as a “party”).
