The following terms and conditions shall govern the agreement made February 1, 2015, between Arizona Public Service Company ("APS”) and City of Azusa ("Azusa"). APS and Azusa enter into this Energy Exchange Confirmation (the “Agreement”) pursuant to and in accordance with the WSPP Agreement to which APS and Azusa are signatories, as of the date first written above. Terms used but not defined herein shall have the meanings set forth in the WSPP Agreement. APS and Azusa may each be referred to herein as a “Party,” and together as the “Parties.”
