THIS AGREEMENT OF PURCHASE AND SALE (the “Agreement”) is entered into effective this 25th day of May, 2004, by and between Georgia Pain Physicians, P.C., a Georgia professional corporation (the “Company”) and its sole shareholder, Robert E. Cenac, M.D., an individual residing in the State of Louisiana (hereinafter referred to as “Seller”) and PainCare Holdings, Inc., a Florida corporation (hereinafter referred to as “Buyer” or sometimes “PainCare”). Buyer, its Subsidiary (defined below) and the Seller are sometimes referred to herein individually as a “Party” and collectively as the “Parties.”
