THIS DEED OF GUARANTEE is made on 26 July 2019 by Citigroup Inc. (the “Guarantor”) in favour of the Relevant Account Holders (as defined in the Deed of Covenant referred to below) and the holders for the time being of Notes (as defined below) issued by CGMHI in relation to which Citigroup Inc. is shown as the Guarantor in the applicable Issue Terms. Each Relevant Account Holder and each holder of a Note is a “Holder”.
