This Settlement Agreement and Release of Claims (“Settlement Agreement”) is made and entered into by and between Plaintiffs Robert Torch, Jesus Gomez and Brian Begley (the “Named Plaintiffs”), on behalf of themselves and the Settlement Class defined below, and Windsor Surry Company, Windsor Willits Company and Windsor Holding Company (collectively, “Defendants” or “Windsor”). For purposes of this Settlement Agreement, the Named Plaintiffs and Defendants are described collectively as the “Parties” to this Settlement Agreement. Subject to preliminary and final court approval of the Settlement as described below, the Parties state and agree as follows:
