AGREEMENT, dated as of August 14, 2015 (as it may be amended, modified or supplemented from time to time, this “Agreement”), of -KRS Agri Holding Company, LP (the “Partnership”), is made by and among -KRS GP, LLC, a Delaware limited liability company (including any successor to such a Person acting in such capacity, the “General Partner”) and Kentucky Retirement Systems and Kentucky Retirement Systems Insurance Trust Fund (each, a “KRS Partner” and, together, the “KRS Partners”).
