Capitalized terms used and not otherwise defined herein have the meaning set forth in the Acquisition Agreement and Agreement and Plan of Merger (the “Acquisition Agreement”) dated as of the date hereof by and among Parent, Purchaser and InterTAN, Inc., a Delaware corporation (the “Company”).
