This MASTER SERVICE AGREEMENT (the "Master Service Agreement") is entered into by and between the below named Customer and Masergy Communications, Inc., a Delaware corporation (“Masergy”) (each referred to as a “Party” or collectively referred to as the “Parties”), and establishes the terms and conditions under which Masergy will provide services to Customer. More particularly, Masergy will provide Customer with any agreed to data and video network services and managed information technology services (collectively the “IT Service”), as well as any agreed to Unified Communications as a Service (“UCaaS”) implemented using session initiation protocol trunking, hosted applications, or hybrid services (the “Cloud Communications Service” or “CC Service”, and together with the IT Service, the "Services").
