We previously entered into a sales agreement on May 4, 2021, or the Sales Agreement, with Cowen and Company, LLC, or Cowen, relating to shares of our common stock, $0.0001 par value per share, offered by this prospectus supplement and the accompanying prospectus. In accordance with the terms of the Sales Agreement, we may offer and sell shares of our common stock having an aggregate offering price of up to $400,000,000 from time to time through Cowen acting as our agent. As of the date of this prospectus supplement, no sales of our shares of common stock have been made under the Sales Agreement.
