MANAGEMENT AGREEMENT, dated as of April 22, 2015 (this “Agreement”), is executed by OP TERRA OWNER LLC, a Delaware limited liability company (the “Assignor”) and PROPARK, INC, a Connecticut corporation (the “Property Manager”), to and for the benefit of PACIFIC WESTERN BANK, a California state-chartered bank, as agent (in such capacity, together with its successors and assigns, the “Agent”) for itself and the other financial institutions party to the Loan Agreement (as defined below) from time to time (with Agent, each a “Lender” and collectively, the “Lenders”).
