STOCK EXCHANGE AGREEMENT, dated as of May 15, 2018 and effective May 31, 2018 (“Agreement”), by and between Strasburg Pharms, LLC, a Colorado limited liability company (“Strasburg”), and the members of Strasburg Pharms, LLC (“Strasburg Members”), and Global NV Corp., a Nevada corporation (“Global NV”). Global NV and Strasburg may be referred to hereinafter individually as a “Party” and jointly as the “Parties”.
