This Agreement, including Amendment No. 1 (TRO Amendment) hereto (“Agreement”) shall be deemed effective as of May 4, 2004 (the “Effective Date”), between Think 12 Corporation d/b/a Hello Depot (“Hello Depot”), a corporation organized under the laws of the State of Illinois, with offices at 1530 Barclay Blvd., Buffalo Grove, IL 60089 and Verizon New England Inc., d/b/a Verizon Massachusetts (“Verizon”), a corporation organized under the laws of the State of New York with offices at 185 Franklin Street, Boston, MA 02110 (Verizon and Hello Depot may be referred to hereinafter, each, individually as a “Party”, and, collectively, as the “Parties”).
