WHEREAS La Mancha understands that, concurrently with the execution and delivery of this Agreement, Elemental Royalties Corp. (a corporation existing under the laws of the Province of British Columbia, Canada (“Elemental”)) and Altus are entering into the Co-operation Agreement (as defined herein) providing for a share-for-share merger of equals with the entire issued share capital of Altus being acquired by Elemental (“Merger”);
