This Share Purchase Agreement (this “Agreement”), dated as of September 25, 2017 is entered into between Alberta Green Biotech Inc., a corporation existing pursuant to the laws of the province of Alberta (“AGB”), the AGB Shareholders (as defined herein) (AGB and the AGB Shareholders collectively, “Vendor”), Ravencrest Resources Inc., a corporation existing pursuant to the laws of the province of British Columbia (“RVT”) and 1118613 B.C. Ltd (“RVT Subco”, and together with RVT, “Purchaser”).
