This Agreement amends and restates in its entirety the Agreement between the Parties dated September 7, 2016, and this Agreement shall be effective from the effective date of this Agreement forward. The September 7, 2016 Agreement was effective and governed the relationship between the Parties with regard to the subject matter of the September 7, 2016 Agreement from September 7, 2016 through the day before the effective date of this Agreement. The Parties agree that the paragraphs of the September 7, 2016 Agreement identified in Section 11 of the September 7, 2016 Agreement shall survive the execution of this Agreement.
