WHEREAS the Corporation proposes to create, issue and sell on a private placement basis up to 43,998,590 Subscription Receipts at a price of $1.50 per Subscription Receipt, with each Subscription Receipt representing the right of the holder thereof to acquire one Unit, subject to certain adjustments, for no additional consideration in the manner herein set forth. Each Unit is comprised of one Underlying Share and one-half of one Warrant. Each whole Warrant entitles the holder thereof the right to purchase one Warrant Share, subject to certain adjustments, at an exercise price of $2.25 per Warrant Share for a period of 24 months from the Listing Date, subject to adjustment and acceleration, at the option of the Corporation, in the event that the closing price of the Common Shares on the CSE or another recognized stock exchange is equal to or greater than $3.50 per Common Share for ten (10) consecutive trading days.
