This Master Software as a Service Agreement (hereinafter referred to as “Master Agreement”) is entered into by and between Central Auction House DBA Central Bidding, a Louisiana corporation having its principal offices at 11103 Recreation Boulevard, Baton Rouge, LA 70818 (hereinafter referred to as “Contractor”) and the Mississippi Department of Information Technology Services, having its principal place of business at 3771 Eastwood Drive, Jackson, Mississippi 39211 (hereinafter referred to as “ITS”), as contracting agent for the local governmental entities of the State of Mississippi (hereinafter referred to as “Customer”). ITS and Customer are sometimes collectively referred to herein as “State”.
