THIS FEE-IN-LIEU OF TAX AGREEMENT (this “Agreement,” as further defined below) is dated as of [_ ], 2023 (the “Effective Date”), by and among Berkeley County, South Carolina, a body politic and corporate and a political subdivision of the State of South Carolina (the “County,” as further defined below), Riverbend Charleston Properties II, LLC, a South Carolina limited liability company (the “Company,” as further defined below), and Robert Bosch LLC, a Delaware limited liability company (the “Tenant Sponsor Affiliate,” and together with the Company, the “Companies”).
