This Term Sheet, together with the attached Standard Terms and Conditions and Appendices, set out the terms and conditions of the agreement between the parties (the “Agreement”). In the event that there is any conflict between the provisions of this Term Sheet, the Standard Terms and Conditions, and the Appendices, the provisions of this Term Sheet shall take precedence, followed by the Appendices and finally the Standard Terms and Conditions.
