(“CE”) and MDprospects & Patient Spectrum (“Business Associate”) desire to achieve compliance with the Health Insurance Portability and Accountability Act of 1996 and the Health Information Technology for Economic and Clinical Health (“HITECH”) Act and their implementing regulations in connection with goods or services that are being provided by Business Associate to Practice and Business Associate may hereafter be referred to individually as a “Party” and collectively as the “Parties.” To the extent that Practice discloses Protected Health Information to Business Associate in connection with such goods or services, the following provisions shall apply:
