THIS AGREEMENT, made and entered into on this 31st day of March, 2021, by and between SYNERGY UTILITIES, LP, a South Carolina limited partnership (“Seller”), Keith Parnell, a natural person residing in South Carolina (“Mr. Parnell”) and SOUTH CAROLINA WATER UTILITIES, INC., a South Carolina corporation (“Buyer”). Seller, Mr. Parnell and Buyer are hereinafter sometimes referred to as “Party” or “Parties”.
