This Agreement represents the complete and exclusive agreement between Licensor and Licensee concerning Licensee’s use of the Software and all related matters and supersedes all prior agreements, negotiations, or understandings between Licensor and Licensee in any way relating to these matters. This Agreement may not be modified except by a later written agreement signed by both parties. The entire Agreement consists of the Order Form (and any subsequent Order Forms agreed by the parties) and enclosed Terms and Conditions together with this signing page. In the event of any conflict or inconsistency between the provisions of this Agreement and any, schedules, exhibits or appendices, the terms and conditions of this Agreement will govern to the extent of such inconsistency, unless it is expressly stated that a particular provision of such documents replaces a certain section of the Agreement and such modification is executed by both the Licensor and Licensee.
