UniTek Global Services, Inc., a Delaware corporation (the “Company”), proposes, subject to the terms and conditions stated herein, to issue and sell to the several underwriters listed in Schedule I hereto (the “Underwriters”), an aggregate of [__________] authorized but unissued shares (the “Underwritten Shares”) of Common Stock, par value $0.00002 per share (the “Common Stock”), of the Company. The Company has granted the Underwriters the option to purchase an aggregate of up to [___________] additional shares of Common Stock (the “Additional Shares”) solely as may be necessary to cover over-allotments made in connection with the offering. The Underwritten Shares and Additional Shares are collectively referred to as the “Shares.” Jefferies & Company, Inc. and Roth Capital Partners, LLC, have agreed to act as the representatives of the several Underwriters (in such capacity, the “Representatives”) in connection with the offering and sale of the Shares.

KIT digital, Inc., a Delaware corporation (the “Company”), proposes, subject to the terms and conditions stated herein, to issue and sell to Roth Capital Partners, LLC ("RCP" or the “Underwriter”) an aggregate of 1,541,624 authorized but unissued shares (the “Underwritten Shares”) of Common Stock, par value $0.0001 per share (the “Common Stock”), of the Company on a best efforts basis. The Company has granted the Underwriter the option to purchase an aggregate of up to 231,244 additional shares of Common Stock (the “Additional Shares”) as may be necessary to cover over-allotments made in connection with the offering.
