Crews & Associates, Inc. (the “Underwriter”), offers to enter into this Bond Purchase Agreement (this “Purchase Agreement”) with the City of Charles Town, West Virginia (the “City”), for the purchase of the City’s Combined Waterworks and Sewerage System Revenue Bonds, Series 2018 B (Bank Qualified) (the “Series 2018 B Bonds” or “Bonds”). This offer is made subject to acceptance and execution of this Purchase Agreement by the City prior to 6:00 p.m., local prevailing time on the date hereof, or until withdrawn by the Underwriter upon written notice to the City as permitted herein, whichever shall occur earlier. Upon such acceptance and approval, as evidenced by the signature of the Mayor of the City in the space provided below, this Purchase Agreement shall be in full force and effect in accordance with its terms and shall be binding upon the City and the Underwriter.
