This POWER PURCHASE AGREEMENT, dated as of , 2010, (“Effective Date”) (as amended, amended and restated, supplemented or otherwise modified from time to time, the “Agreement”), is by and between UTS SJ-1, LLC, a Limited Liability Company formed under the laws of the State of Delaware (“Provider”), and City of San Jose, in the County of Santa Clara, State of California (“Customer”).
