This Sales and Purchase Agreement (the “Agreement”) is made and entered into as of the 1st day of November, 2009 (the “Effective Date”) by and between US Airways, Inc. (“Seller”), a Delaware corporation having its principal place of business at 111 West Rio Salado Parkway, Tempe, Arizona 85281, USA, and Wichita Airport Authority (“Buyer”), owner and operator of the Wichita Mid-Continent Airport having its principal place of business at 2173 Air Cargo Road, Wichita, KS 67209.
