This liquidating trust agreement (this “Agreement”), dated as of [•], 2018, is made by and among Venoco, LLC and Ellwood Pipeline, Inc. (together, the “Contributing Debtors”), and Eugene Davis of PIRINATE Consulting Group, LLC, as trustee of the Liquidating Trust (the “Liquidating Trustee”), on behalf of, and for the sole benefit of the holders of Convenience Claims and General Unsecured Claims (collectively, the “Beneficiaries”), pursuant to the terms of the Combined Disclosure Statement and Joint Chapter 11 Plan of Liquidating Proposed by the Debtors [D.I. 816], a revised version of which was filed on March 22, 2018 [D.I. 833] (including all exhibits thereto and as further amended, modified, or supplemented from time to time, the “Combined Disclosure Statement and Plan”), which was confirmed by the United States Bankruptcy Court for the District of Delaware (the “Bankruptcy Court”), Case No. 17- 10828 (KG), by order dated [•], 2018 [D.I. [•]] (the “Confirmation Order”).
