This SAAS Subscription Agreement (“Agreement”), dated as of the Effective Date, governs the use by Customer of the MyGemba Improvement Management System (collectively, the “SAAS System”), and the services provided by Service Provider in connection with the SAAS System (the “SAAS Services”). This Agreement includes (1) each Order Form that provides the system configuration details, number of users and the payment terms for the services purchased from Service Provider and the SAAS Services and (2) these Terms of Use found at https://MyGemba.com. In the event of conflict among terms, the order of priority shall be the Order Forms and this Agreement.
