Reference is made to section 5.1(e)(i)(D) of the Share Purchase Agreement (the “Agreement”) dated December 22, 2020 by and among The Caldwell Partners International Inc. (the “Corporation”), The Caldwell Partners International Ltd., David Windley, Chris Murdock, Tom Milic and Jeremy Conner in connection with the purchase of all issued and outstanding shares in the capital of IQTalent Partners, Inc. Capitalized terms used herein have the meanings set out in the Agreement, unless otherwise expressly defined herein. The execution and delivery by the undersigned of this Undertaking is a condition to the closing of the transaction contemplated in the Agreement.
