The closing of the transaction could occur on or after 15 October 2012 and is subject to certain conditions precedent including, in particular, antitrust approval, as stated in the disclosure document published on 6 June 2012 and prepared pursuant to Article 5 of Consob Regulation 17221/2010 and Article 71 of Regulation 11971/1999.
