This Agreement (“Agreement”) shall be deemed effective as of November 1, 2015 (the “Effective Date”), between Talk America Services, LLC (“Talk America”), a limited liability company organized under the laws of the State of Delaware, with offices at 10802 Executive Center Drive, Benton Building, Suite 300, Little Rock, AR 72211 and Verizon New England Inc., d/b/a Verizon Massachusetts (“Verizon”), a corporation organized under the laws of the State of New York with offices at 125 High Street - Oliver Tower, 7th Floor, Boston, MA 02110 (Verizon and Talk America may be referred to hereinafter, each, individually as a “Party”, and, collectively, as the “Parties”).
