WHEREAS, the City and the Licensee entered into that certain Long-Term License Agreement Development and Ground Lease Agreement with an Effective Date of October 26, 2017, (the “License Agreement”) regarding the use by Licensee of a portion of the park now known as Pride Park (the “Park”), located west of Convention Center Drive between 18th and 19th Street, as more fully described in Exhibit A to the License Agreement (the “Premises”) to hold its Design Miami Annual Show; and
