The partnership to be constituted by this agreement is to be established as a limited partnership in England under the Limited Partnerships Act 1907 between the General Partner and the Limited Partner which, subject to the satisfaction of the Condition Precedent (defined below), shall carry on the business of investment and on the basis that the General Partner shall be a general partner and the Limited Partner shall be a limited partner.1
